1. Agreement to Terms

Welcome to RekPlay! These Terms of Service ("Terms") constitute a legally binding agreement between you and RekPlay ("Company," "we," "us," or "our") governing your access to and use of the RekPlay website (rekplay.com), mobile application, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Services.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICES.

2. Eligibility

To use our Services, you must:

• Be at least 13 years of age (or the minimum age required in your jurisdiction)
• If under 18, have parental or guardian consent to use the Services
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Services under applicable laws

By using our Services, you represent and warrant that you meet all eligibility requirements.

RekPlay provides a platform for organizing and participating in pickleball events, including recreational games, tournaments, and leagues. You may use our Services for personal, non-commercial purposes in accordance with these Terms.

4.2 Prohibited Conduct

You agree NOT to:

• Use the Services for any illegal purpose or in violation of any laws
• Harass, abuse, threaten, or intimidate other users
• Post or transmit harmful, offensive, or inappropriate content
• Impersonate any person or entity, or falsely represent your affiliation
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any part of the Services
• Use automated systems or bots to access the Services
• Collect or harvest user information without consent
• Manipulate ratings, rankings, or match results
• Engage in any activity that could damage our reputation or the community
• Violate any applicable local, state, national, or international law

5. User Content

5.1 Your Content

You may submit content through our Services, including profile information, messages, photos, match results, and other materials ("User Content"). You retain ownership of your User Content, but grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, display, and distribute your User Content in connection with operating and providing our Services.

5.2 Content Standards

Your User Content must not:

• Contain defamatory, obscene, or offensive material
• Infringe on any third party's intellectual property rights
• Contain viruses, malware, or other harmful code
• Violate any person's privacy or publicity rights
• Contain false or misleading information
• Promote illegal activities or violence

5.3 Content Moderation

We reserve the right to remove or disable access to any User Content that violates these Terms or is otherwise objectionable, without prior notice.

6. Events and Tournaments

6.1 Event Participation

When you register for events through RekPlay, you agree to abide by the specific rules and requirements set by event organizers. RekPlay facilitates event organization but is not responsible for the conduct or outcomes of events.

6.2 Event Organizers

If you organize events through our platform, you are responsible for ensuring compliance with all applicable laws, obtaining necessary permits, and providing accurate event information.

6.3 Cancellations and Refunds

Cancellation and refund policies for paid events are determined by event organizers. Please review the specific policies before registering for any paid event.

7. Payments

Certain features or services may require payment. By making a purchase, you agree to pay all applicable fees and authorize us to charge your payment method. All payments are processed by third-party payment processors.

Prices are subject to change. We will notify you of any price changes before they take effect.

8. Intellectual Property

The Services and all content, features, and functionality (including but not limited to software, text, graphics, logos, and images) are owned by RekPlay and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected. Your use of the Services is at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REKPLAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS YOU HAVE PAID TO US IN THE PAST TWELVE MONTHS.

11. Assumption of Risk

Participation in pickleball and other physical activities involves inherent risks, including but not limited to the risk of personal injury. By using our Services to organize or participate in physical activities, you acknowledge and assume these risks.

RekPlay is not responsible for any injuries, damages, or losses that may occur during participation in events organized through our platform.

12. Indemnification

You agree to defend, indemnify, and hold harmless RekPlay and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Services, your User Content, or your violation of these Terms.

13. Termination

We may terminate or suspend your account and access to the Services at any time, without prior notice or liability, for any reason, including if you breach these Terms.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Services will immediately cease.

14. Dispute Resolution

14.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@rekplay.com to attempt to resolve the dispute informally within 30 days.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

14.3 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property infringement claims.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after any changes indicates your acceptance of the modified Terms.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and RekPlay regarding the Services.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
• Notices: We may provide notices through the Services, email, or other means.
